Optional Service Agreement

Option A (initiated after equipment purchase)

PRIOR to the conclusion of the One Year Limited Warranty, the Sea Trek Customer and Sub Sea Systems (at its sole discretion) may enter into a Factory Maintenance Program whereby Sub Sea Systems will provide spare parts, replacement components, or assemblies, that are not functioning properly or require replacement due to normal wear from proper use. Replacement shall be reasonably determined by Sub Sea Systems at its own discretion. Initiation of Factory Maintenance Program is subject to equipment inspection prior to intended coverage. Customer may be required to replace components or assume the cost for replacement of components determined worn, damaged or excluded from the Factory Maintenance Program until replaced. Replacement does not include the cost of freight from customer to factory or factory to customer, which shall be borne entirely by customer. Coverage shall renew automatically for subsequent ONE YEAR periods unless canceled by either party.


Option B (initiated at the time of purchase)

When initiated at the time of purchase, Sub Sea Systems agrees to provide spare parts, replacement components, or assemblies, that are not functioning properly or require replacement due to normal wear from proper use during automatically renewable, ONE YEAR periods. Replacement shall be reasonably determined by Sub Sea Systems at its own discretion. Replacement does not include the cost of freight from customer to factory or factory to customer, which shall be borne entirely by customer.

Cost: Customer shall pay Sub Sea Systems One Dollar ($1.00) for each paid use of the Equipment for said Factory Maintenance Program (Option A or Option B). Customer shall provide a report of the monthly paid use of the Sea Trek equipment within ten days of each preceding month activities. Reporting shall be faxed to Sub Sea Systems on the Activity Summary Form provided herein (see attached exhibit "A"). Payment is required within 15 days of invoice by wire transfer as directly by Sub Sea Systems.

License Program

Assumptions:

Initial License Fee: $80,000.00
Minimum Monthly Royalty: $3,500.00, or
Royalty Fee Per Paid Use: $8, Whichever Is Greater
Minimum License Term: 5 years, renewable in 5 additional year increments
Equipment Ownership: No Transfer Of Ownership To Licensee

*Maintenance Program: $1 Per Paid Use
**Professional Liabaility Insurance: Up To Four Sea Trek Guides - No Charge
(During The Term Of The License Agreement)

Additional Guides Shall Be @ $480/Yr. (Or Current Rate)

System Installation (Appx 7 days): Air, Lodging, Meals & Local Transportation

Paid By Licensee. Personnel Provided by Sub System At No Cost To Lessee

**Professional Liability Insurance:

Sub Sea Systems will provide professional liability insurance coverage for up to four (4) qualified Sea Trek Guides, at no cost. Insurance coverage for additional Sea Trek Guides will be billed at $480 per Guide, per year. Coverage is provide by Lloyds Underwriters and is limited to $2 million per incident. The deductable per incident is $0.
